Commercial License Agreement
This Commercial License Agreement (“Agreement”) is a legal agreement between Various-Crafts (“Licensor”) and the purchaser (“Licensee”). By purchasing and using the digital laser cutting files (the “Files”), the Licensee agrees to be bound by the terms of this Agreement.
1. Grant of License
Upon purchasing the Files [File Name], the Licensor grants the Licensee a non-exclusive, non-transferable, worldwide license to use the Files for the sole purpose of creating physical products (“Products”) for commercial sale.
2. Permitted Uses
• The Licensee is permitted to use the Files to create unlimited physical copies of the Products for personal and commercial purposes.
• The Licensee may sell the physical Products created from the Files at craft shows, online marketplaces, retail stores, or any other venue, without restrictions.
3. Prohibited Uses
• No Digital Distribution: The Licensee is strictly prohibited from distributing, reselling, or sharing the Files in their digital format, whether in whole or in part, including any modified versions.
• The Licensee may not upload the Files to any website, cloud storage, or file-sharing platform for any reason, including for personal use or backup.
• The Licensee is prohibited from sublicensing, leasing, or otherwise transferring the Files to any third party.
• The Licensee may not claim the design as their own or use the Files to create derivative digital works for sale or distribution.
4. Ownership
The Files remain the intellectual property of the Licensor. The Licensee has no ownership rights in the Files themselves, only the right to use them under the conditions outlined in this Agreement.
5. Termination
This license is effective until terminated. The Licensee’s rights under this license will terminate automatically without notice if they fail to comply with any terms of this Agreement. Upon termination, the Licensee must immediately cease all use of the Files and destroy any digital copies of them.
6. Disclaimer of Warranties
The Files are provided “as is,” without warranties of any kind, express or implied. The Licensor does not warrant that the Files will meet the Licensee’s specific requirements or that the operation of the Files will be uninterrupted or error-free.
7. Limitation of Liability
In no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use the Files, even if the Licensor has been advised of the possibility of such damages.
8. Governing Law
This Agreement is governed by and construed in accordance with the laws of Canada. Any disputes arising under this Agreement shall be resolved in the courts of Ontario, Canada.
